Questions about Foreign Company Registration in India
Can all the directors be non-resident?
No. At least one director of an Indian company must be resident in India. This is commonly satisfied by a local hire, a group employee relocating, or a professional appointee. We will flag this early because it affects your timeline.
What does apostille mean and do we need it?
An apostille is a certificate that authenticates a public document for use in another country under the Hague Convention. If your country is a signatory, parent documents need apostille. If not, they require consularisation through the Indian embassy or consulate. We tell you which applies to you.
Do we need an Indian office address before incorporating?
Yes, a registered office address in India is mandatory, supported by a recent utility bill and a no-objection certificate from the owner. It does not need to be large, but it must be able to receive statutory correspondence.
Is capital required to be brought in immediately?
There is no statutory minimum paid-up capital, but the subscription amount stated at incorporation should be remitted through banking channels and reported to the Reserve Bank of India within the prescribed timeline.
